Agreement to Terms

By accessing softnweb.com or engaging us for any service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company, you confirm that you are authorized to do so.

Definitions

A few terms are used throughout this document:

• “Services” — the software engineering, design, consulting, and AI work we provide.

• “Deliverables” — the work products we create for you under a statement of work.

• “Client” — the individual or entity engaging our Services.

• “Website” — softnweb.com and its subdomains.

Use of Our Website

You agree to use our website lawfully and not to misuse it. This includes no attempts to gain unauthorized access, disrupt the service, scrape content at scale, or infringe our intellectual property. We may suspend access for anyone who breaches these Terms.

Services & Engagements

The specifics of each engagement — scope, timeline, fees, and responsibilities — are set out in a separate statement of work (SOW) or proposal agreed by both parties. Where these Terms and an SOW conflict, the SOW prevails for that engagement.

Intellectual Property

Upon full payment, ownership of the final Deliverables transfers to you — except for any pre-existing tools, frameworks, or libraries we use, which remain ours and are licensed to you as part of the Deliverables. All content on softnweb.com, including our brand, text, and graphics, remains our property.

Payment Terms

Fees, milestones, and invoicing schedules are defined in your SOW. Invoices are payable within the period stated on the invoice. Late payments may incur interest and may pause active work. All fees are exclusive of applicable taxes unless stated otherwise.

Confidentiality

Both parties agree to keep each other’s confidential information private and to use it only for the purposes of the engagement. This obligation continues after the engagement ends. We are always happy to sign a mutual NDA before sensitive details are shared.

Warranties & Disclaimers

We provide our Services with reasonable skill and care. Except as expressly stated, our website and services are provided “as is,” without warranties of any kind. We do not guarantee that the website will be uninterrupted or error-free at all times.

Limitation of Liability

To the maximum extent permitted by law, Soft ’n’ Web will not be liable for indirect, incidental, or consequential damages. Our total liability for any engagement is limited to the fees you paid for that engagement in the three months preceding the claim.

Termination

Either party may terminate an engagement as set out in the SOW. On termination, you agree to pay for all work completed up to the termination date. Clauses that by their nature should survive — including confidentiality, intellectual property, and liability — will continue to apply.

Governing Law

These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts of Rajkot, Gujarat. We will always try to resolve any issue with you directly and in good faith first.
